PORT — TERMS OF SERVICE
Effective Date: November 1, 2026
Last Updated: November 1, 2026
These Terms of Service ("Terms") are an agreement between you and the provider of the Port mobile application ("Port," "we," "our," or "us"). They govern your use of the Port app and related services. Contact information is available through the support channels presented in Port or its official app-store listing.
PLEASE READ THESE TERMS CAREFULLY. DIGITAL ASSETS INVOLVE RISK, INCLUDING THE POSSIBLE LOSS OF ALL VALUE. BLOCKCHAIN TRANSACTIONS MAY BE IRREVERSIBLE. INFORMATIONAL STOCK PAGES AND PRACTICE INVESTMENTS DO NOT MEAN A PRODUCT IS AVAILABLE FOR LIVE TRADING. FEATURES MAY DIFFER BY LOCATION, AGE, AND PROVIDER ELIGIBILITY. THESE TERMS INCLUDE DISCLAIMERS, LIABILITY LIMITATIONS, AND IMPORTANT RIGHTS AND RESPONSIBILITIES. NOTHING IN THESE TERMS LIMITS RIGHTS THAT CANNOT LEGALLY BE WAIVED.
1. AGREEMENT; ACCEPTANCE; PRIORITY
1.1. These Terms of Service ("Terms") govern access to the Port mobile application, related websites, interfaces, software, APIs, market-data views, group features, notifications, wallet integrations, educational simulations, and any other services expressly made available by Port (collectively, the "Services").
1.2. By selecting an affirmative acceptance control, registering, or using Services after these Terms have been presented, you agree to these Terms to the extent you have legal capacity to do so. If you lack that capacity, an authorized parent or legal guardian must complete the applicable consent and contracting process where legally effective. Mere use by a child does not establish valid parental consent or make an otherwise unenforceable agreement binding.
1.3. These Terms supplement, but do not replace, the Privacy Policy, applicable disclosures, feature-specific agreements, and any mandatory third-party terms. If there is a conflict, mandatory law controls; a properly disclosed feature-specific agreement may govern that feature, and third-party provider contracts govern the provider's separate services.
1.4. Port may present additional terms before activating financial, wallet, trading, referral, or promotional features. No feature description in these Terms represents a promise that the feature is currently available or that Port is licensed to offer it.
1.5. Do not use Services if you do not accept these Terms or cannot lawfully use the relevant feature.
2. DEFINITIONS
2.1. "Account" means a Port user profile authenticated through supported identity providers and Port systems.
2.2. "Adult" means an individual who has reached the legal age of majority in their jurisdiction and is otherwise eligible for the relevant financial service.
2.3. "Minor" means a person below the age of majority in their jurisdiction.
2.4. "Group" means a designated family or other membership area whose permissions determine what information members may view.
2.5. "Wallet" means a blockchain address and related cryptographic signing capability, whether self-custodied or provided through an eligible third party.
2.6. "Digital Assets" means cryptocurrencies, stablecoins, tokens, tokenized financial instruments, and similar blockchain-based assets.
2.7. "USDC" means the digital asset denominated USDC on a supported network and issued under the applicable issuer's terms; it is not a bank deposit with Port.
2.8. "Practice Portfolio" means a simulated balance, order, position, and performance record that does not constitute ownership of a security, token, or other asset.
2.9. "Third-Party Provider" means an independent wallet, blockchain, identity, market-data, onramp, offramp, exchange, charting, or other service provider.
2.10. "Eligible Transaction" means a transaction the Port and its licensed or otherwise eligible partners actually make available to a user in compliance with applicable restrictions.
3. SERVICE DESCRIPTION AND NO COMMITMENT TO OFFER FEATURES
3.1. Port is designed to support financial education, account and Group coordination, market information, and, where available and lawful, connectivity to third-party digital-asset tools and payments.
3.2. Features may include access codes, independent Account profiles, Group invitations, read-only portfolio sharing, allowance reminders, Wallet viewing, self-directed transfer interfaces, market charts, Practice Portfolios, and provider-hosted purchases or withdrawals.
3.3. All Services are subject to availability, technical feasibility, eligibility, compliance reviews, third-party contracts, security controls, and Port discretion exercised consistently with law. Port may add, restrict, suspend, change, or discontinue features on reasonable grounds, including safety, abuse, legality, partner requirements, and technical necessity.
3.4. Port does not guarantee that any feature will launch, remain available, work with a particular asset, device, token, network, country, or provider, or support any particular trading strategy.
3.5. The availability of an informational chart or asset page never represents that the asset is available for purchase, sale, transfer, or redemption by the viewer.
4. ELIGIBILITY; AGE; LOCATION; RESTRICTED PERSONS
4.1. Users must provide accurate information and satisfy the eligibility requirements applicable to each feature. Port may require age assurance, identity confirmation, parental consent, sanctions screening, location verification, or third-party checks.
4.2. Financial functions may be limited to Adults. Minor-accessible features, if any, will be separately designated and may require verifiable parental consent and specific safety limitations. A parent creating a Group or paying an allowance does not automatically make a financial product lawful or available for a Minor.
4.3. An Adult who registers or authorizes a Minor Account represents that the Adult has authority to do so and agrees to provide required consents, supervise the use of age-appropriate features, and maintain accurate parental contact information. This obligation does not relieve Port of statutory duties owed to children.
4.4. Users may not impersonate Adults, misstate residence or age, evade eligibility checks, use a VPN or other means to circumvent regional restrictions, or transact on behalf of prohibited persons.
4.5. Services are not offered where prohibited by applicable law or provider policy. Port may restrict geographic access and require further information before permitting use of particular functions.
4.6. Users must not be subject to applicable sanctions or restricted-party prohibitions, and must not use Services in connection with unlawful activity.
5. ACCOUNTS; AUTHENTICATION; ACCESS CODES
5.1. New registrations may require a valid one-time or limited-use access code. Access codes are permissions to attempt registration, not money, investments, transferable property, or guarantees of future access.
5.2. Access codes may be revoked, expired, rate-limited, or rejected for abuse, fraud, administrative error, legal requirements, or stated eligibility rules.
5.3. Users are responsible for protecting their login credentials, passkeys, devices, and authorized access. Notify Port promptly of suspected Account compromise using the support or security-reporting method provided within Port or in its official app listing.
5.4. Port may require Sign in with Apple, Google, or another approved authentication service. Those services may have separate agreements and availability constraints.
5.5. An Account is personal unless expressly designated otherwise. Do not sell, share, or transfer Account credentials, or create fake or duplicate Accounts to manipulate referrals, fees, Groups, or compliance controls.
5.6. Port may request additional verification, limit functionality, or temporarily secure Accounts when reasonably necessary to protect users or comply with law.
5.7. An Account profile and a blockchain Wallet are distinct. Logging in to Port does not by itself prove control of any external Wallet.
6. GROUPS; INVITES; PARENT AND CHILD RELATIONSHIPS
6.1. Users may create or join Groups subject to applicable eligibility, invitation, and approval rules. Access codes for initial signup are distinct from Group invitation codes.
6.2. Group administrators may manage Group membership and invitations only to the extent enabled by the Services; such permissions do not create ownership of other members' assets or signing authority over their Wallets.
6.3. Group members may see specified profile, portfolio, balance, and transaction information that other members elect to share or that the interface expressly identifies as visible within the Group. The specific categories of information disclosed must be explained in the interface and Privacy Policy before sharing.
6.4. A member's portfolio-viewing permission is read-only unless a separately authorized function expressly provides otherwise. Visibility of public blockchain data is not a right to spend another user's assets.
6.5. Users should not invite strangers or share sensitive Wallet information, personal details, or children's data unnecessarily. Group membership can reveal financial behavior, identities, or family relationships.
6.6. Port may remove invitations, limit Groups, or address abusive membership activity consistent with law and published procedures.
6.7. Port does not adjudicate family ownership disputes, child support obligations, custody rights, or disagreements over private gifts, except as required by law or a binding order.
7. ALLOWANCES AND MANUAL TRANSFERS
7.1. Allowance settings and notifications are organizational tools and, unless explicitly stated otherwise in a separate feature agreement, are reminders rather than automatic payment commitments.
7.2. A scheduled reminder does not create a debt owed by Port, guarantee a payment from a parent, or ensure a notification will arrive at the specified time. Delivery can be affected by permissions, network outages, devices, operating systems, or other factors.
7.3. Transfers between independently controlled Wallets must be reviewed and authorized by the applicable Wallet controller and may require network fees. Users are responsible for confirming the recipient, network, token, amount, and consequences before approving.
7.4. Port does not guarantee that a parent will pay an allowance, that a recipient will use funds as intended, or that funds will be recoverable after an incorrect or unauthorized blockchain transfer.
7.5. Unless Port expressly assumes custody or execution responsibility in a separate agreement, Port does not take ownership of funds merely because a transfer is initiated through its interface.
7.6. A user's authorization to send a gift or allowance does not itself establish that the recipient may lawfully purchase regulated financial instruments.
8. WALLET CHARACTERISTICS; CONTROL; RECOVERY
8.1. Wallet features may be provided by independent wallet infrastructure companies. The identity of the applicable provider and the Wallet's custody, signing, export, recovery, and authorization arrangements must be accurately disclosed in the product flow.
8.2. Some Wallets may be independently controlled, while others may use delegated signing, policy-based authorization, or other provider-specific mechanisms. Port will not characterize a Wallet as noncustodial if its actual design gives Port unilateral access or effective control.
8.3. Depending on the provider and configuration, Wallet control may require passkeys, biometrics, devices, recovery credentials, or approved recovery procedures. Loss of access may lead to delayed or permanent loss of access to Digital Assets.
8.4. Users should never disclose private keys, seed phrases, passwords, passkeys, or recovery information to anyone. Port support will not ask for a seed phrase or private key.
8.5. Port cannot guarantee successful Wallet recovery, preservation of access, or reversal of signatures. Recovery obligations, if any, are defined by the applicable wallet provider's terms and Port disclosures.
8.6. Blockchain Wallets and token accounts may be publicly observable. Addresses, transaction times, balances, and counterparties may be analyzed and linked to identities.
8.7. Users are responsible for securing devices, reviewing transaction details, and reporting suspected compromise promptly. Nothing in this section excludes liability that applicable law places on Port or a regulated service provider.
9. BLOCKCHAIN NETWORKS; FINALITY; FEES; TECHNICAL RISKS
9.1. Blockchain networks may be decentralized and operate outside Port control. Network congestion, reorganization, forks, validators, RPC services, token standards, protocol changes, smart contracts, and cyberattacks may delay or prevent transactions.
9.2. A submitted transaction may fail, expire, be duplicated if the user resubmits incorrectly, or settle later than expected. Network confirmations may be irreversible, and a visible transaction identifier is not a guarantee of ultimate settlement in all circumstances.
9.3. Fees may include blockchain network fees, rent or token-account creation costs, third-party execution fees, spread, slippage, payment-provider charges, currency conversion, and separately disclosed Port fees. These amounts may change.
9.4. Assets sent on an unsupported network, to an incorrect address, or via an unsupported token contract may be permanently lost.
9.5. Wallet and token displays may use cached, estimated, or delayed information. The actual onchain state and applicable provider records govern settlement, subject to error-correction rights under law.
9.6. Port does not promise continuous availability, a particular network fee level, particular settlement speed, universal token support, or protection against protocol vulnerabilities.
10. USDC AND STABLECOINS
10.1. USDC is a Digital Asset subject to its issuer's separate terms, reserves and redemption arrangements, regulatory conditions, blockchain availability, and operational risks.
10.2. One USDC should not be assumed to equal one U.S. dollar at all times in every trading venue, network, or transaction. Prices, liquidity, conversion costs, and redemption eligibility may vary.
10.3. Digital Assets held in independent Wallets are not deposits with Port; they are not represented by Port as FDIC- or SIPC-insured, and Port does not guarantee issuer solvency, stablecoin redemption, or price stability.
10.4. Port is not the issuer of USDC and does not undertake the issuer's redemption obligations unless it expressly states and is lawfully able to provide a separate service.
11. THIRD-PARTY ONRAMPS, OFFRAMPS, AND APPLE PAY
11.1. Fiat-to-crypto purchases and crypto-to-fiat withdrawals, if enabled, may be operated by eligible independent Third-Party Providers. Port may provide a technical entry point, referral, or embedded interface but is not necessarily the merchant of record, fiat recipient, bank, exchange, or settlement institution.
11.2. Third-Party Providers may independently set eligibility, KYC/AML requirements, age restrictions, supported locations, purchase limits, fees, exchange rates, settlement methods, refunds, chargeback handling, and transaction monitoring.
11.3. Apple Pay is a payment method and does not itself issue crypto, guarantee purchase availability, or create a contractual relationship between Apple and the user for a Digital Asset purchase. Apple and relevant banks/payment providers may have separate rules.
11.4. Purchases and withdrawals may be rejected, reviewed, delayed, cancelled, reversed where legally or technically possible, or unavailable in particular jurisdictions. Displayed amounts are estimates until confirmed by the actual provider.
11.5. Adults may be eligible for onramp or offramp features; users below the provider's permitted age may not use those features. A parent may not evade applicable restrictions by misrepresenting the actual purchaser or beneficial user.
11.6. Complaints concerning fiat charges, payment-method failures, bank settlements, or the provider's decisions may need to be directed to that provider, without diminishing statutory rights against Port if Port is independently responsible.
11.7. Any provider relationship, branding, or access shall not be described as insured, endorsed, licensed, or guaranteed by Apple, Coinbase, or any other third party unless explicitly true and authorized.
12. MARKETS; CHARTS; DATA; REFERENCE PRICES
12.1. Port may display instrument descriptions, charts, historical prices, market data, projected values, market-cap figures, and other information obtained from third parties or computed by software.
12.2. Data may be delayed, incomplete, inaccurate, inconsistent across providers, or subject to corrections. Port will take commercially reasonable steps to represent the type and freshness of displayed data accurately but does not guarantee error-free prices or uninterrupted coverage.
12.3. An underlying equity reference price, an onchain token trading price, and an executable quote are not interchangeable. An asset shown in a catalog may be untradeable or unavailable to a particular user.
12.4. Information and examples are for general education and interface functionality unless explicitly provided under an authorized regulated advisory agreement. Port does not provide individualized investment, tax, or legal advice through ordinary charts and informational content.
12.5. No displayed chart, company logo, asset description, return, or performance metric constitutes an endorsement, solicitation where prohibited, guarantee, or recommendation appropriate for a specific user.
12.6. Past performance and simulated results do not predict future performance. Users should independently assess risks and obtain advice from qualified professionals when appropriate.
12.7. Market-data licenses may restrict copying, resale, scraping, redistribution, or commercial use of data accessible through Port.
13. XSTOCKS AND TOKENIZED FINANCIAL INSTRUMENTS
13.1. xStocks and other tokenized financial products are distinct from ordinary corporate shares and may convey different legal and economic rights, restrictions, risks, and redemption arrangements. Their issuers and distributors, not Port by virtue of displaying a chart, determine instrument terms.
13.2. Under currently published issuer and distributor eligibility restrictions, xStocks are not available to U.S. persons or within the United States under the relevant issuer/distributor restrictions. Port must not offer access to prohibited transactions merely because tokens can be observed on a public blockchain.
13.3. Any future live tokenized securities functionality will be restricted to users and jurisdictions for which all relevant product, legal, partner, and licensing requirements are satisfied. Port may require additional suitability, age, identity, residence, investor-status, and transaction checks.
13.4. The presence of an xStock symbol or token detail screen is informational only and does not establish the user's eligibility to acquire, dispose of, redeem, or otherwise deal in the instrument.
13.5. Tokenized products can present issuer, counterparty, custody, liquidity, price tracking, corporate action, trading suspension, transfer restriction, and regulatory risks. They may not carry ordinary shareholder voting, registration, or other rights.
13.6. Port may disable, hide, or block trading features when necessary to meet applicable restrictions. These Terms do not create any right to trade a restricted instrument.
14. PRACTICE PORTFOLIOS AND SIMULATED TRADES
14.1. Practice Portfolios and demo orders are educational simulations. They do not represent ownership of Digital Assets, equities, brokerage securities, cash, bank deposits, or rights to withdraw real money.
14.2. Port may provide practice balances solely for simulation. Unless an expressly separate, lawful, clearly disclosed arrangement exists, practice credits are not purchased, redeemable, transferable outside the practice environment, or convertible into Digital Assets or cash.
14.3. Simulations may use reference prices, approximated fills, simplified fractional units, artificial timing, and assumptions different from real execution, spreads, slippage, fees, taxes, and market access.
14.4. Simulated profits do not create a right to compensation. Users should not rely on practice performance as evidence of future live investment returns.
14.5. Port may correct demonstrable data errors, erroneous credits, or calculation mistakes with reasonable notice where appropriate, without arbitrarily confiscating paid value or violating applicable law.
14.6. The interface will distinguish practice amounts from real Wallet holdings and actual transactions. No user should be asked to infer whether an order is simulated.
15. FUTURE LIVE EXECUTION; NO ASSURANCE OF ORDERS
15.1. If live Eligible Transactions are enabled under applicable approvals and separate disclosures, they may be processed through third-party exchanges, swap aggregators, liquidity sources, blockchain protocols, or other qualified execution partners.
15.2. Orders and quotes may expire or fail; asset amounts and fees may change before execution. Execution depends on eligible assets, available liquidity, transaction signing, sufficient funds, network operation, and relevant partner rules.
15.3. Port does not guarantee that any requested order will execute, at any quoted price, within any time frame, or without slippage, unless a separate binding execution agreement expressly provides otherwise.
15.4. No feature obligates Port to provide a brokerage account, investment advice, fiduciary service, custody, market making, or order execution where Port is not legally performing that function.
15.5. Additional transaction confirmations, risk disclosures, and provider terms may apply before live execution.
16. FEES, PRICING, AND TAXES
16.1. Port may charge a separately disclosed platform or integration fee for an Eligible Transaction. The specific rate, calculation basis, beneficiary, and estimated amount must be presented before the user commits to a fee-bearing transaction.
16.2. Any fee rates discussed in promotional or planning materials are not necessarily Port's current fees. Only the applicable in-app disclosure and legally required confirmation establish the relevant fee for a transaction.
16.3. Third-party spreads, network charges, exchange fees, payment-provider costs, and token-account creation fees may apply independently. Where reasonably possible, the user will see an appropriate cost breakdown or an explanation of which costs are estimated or determined by third parties.
16.4. Port may change prospective fees after required notice and disclosures. Changes do not retroactively alter completed transaction fees.
16.5. Port may elect not to charge a platform fee on family allowance transfers, but such a commercial policy is not a permanent promise unless expressly stated in a binding fee schedule.
16.6. Each user is responsible for their own tax reporting and obligations. Port does not warrant any specific tax treatment or provide personal tax advice through ordinary use of the Services.
16.7. Statutory refund, error-resolution, and other consumer rights remain applicable notwithstanding any general no-refund statement.
17. ACCESS-CODE PROMOTERS; AFFILIATES; REFERRALS
17.1. An access code may attribute a new Account to a promoter for internal tracking. Use of a promoter code does not make the promoter the user's financial adviser, broker, guardian, fiduciary, or representative of Port.
17.2. Promoter eligibility, compensation, disclosures, payment thresholds, permitted marketing, fraud controls, and termination rights must be governed by a separate written Promoter Agreement where applicable.
17.3. No promoter is entitled to a commission or permanent percentage of user activity solely because an access code was entered. Any earned compensation depends on a valid, separately approved agreement, applicable law, verified eligible revenue, and the agreement's calculation terms.
17.4. Port may reject fraudulent, misleading, unauthorized, self-referred, duplicate, bot, sanctioned, or otherwise ineligible referrals consistent with the separate agreement and law.
17.5. Compensation for securities-related referrals or transactions may be prohibited or require registration, licensing, or another lawful structure. No promotional program will be activated where it would violate applicable securities, consumer, child-protection, marketing, or platform rules.
17.6. Promoters must not claim guaranteed gains, insured balances, universally available xStocks, eligibility for Minors, or endorsements not actually granted; must disclose material financial connections; and must avoid targeting children with prohibited financial inducements.
17.7. Customer access to the app does not create any right to receive affiliate revenue.
18. USER RESPONSIBILITIES AND PROHIBITED CONDUCT
18.1. You must use the Services lawfully and in accordance with these Terms, provider requirements, and reasonable security instructions.
18.2. Prohibited conduct includes fraud, impersonation, sanctions evasion, money laundering, terrorist financing, unauthorized access, account takeover, market manipulation, wash trading, self-referral abuse, spam, harassment, grooming or exploitation of children, sharing illegal content, exploitation of software vulnerabilities, and evasion of technical or geographic controls.
18.3. You may not reverse engineer, interfere with, scrape, overload, or commercially reuse the Services or protected market data except as allowed by law or express license.
18.4. You may not submit malicious code, automate unauthorized transactions, falsify age or parental status, or use another person's Wallet or credentials without authorization.
18.5. Port may investigate suspected abuse, preserve relevant evidence, and take proportionate action, including restricting access or reporting activity, consistent with law.
19. CHILDREN'S SAFETY; PARENTAL CONSENT; PRIVACY
19.1. Port's educational mission does not eliminate legal requirements concerning children's personal data, capacity, marketing, or access to financial services.
19.2. Where required, Port will provide age-appropriate notices, verifiable parental consent procedures, parental review/deletion mechanisms, and safeguards before collecting covered personal information from children.
19.3. The Privacy Policy must explain what data is collected, purposes, recipients, retention, parental rights, security practices, and methods to exercise applicable rights. These Terms are not a substitute for a privacy policy or a consent mechanism.
19.4. A parent who authorizes an eligible child's participation should explain to the child the possibility of loss, public blockchain transparency, visibility to Group members, and the distinction between practice portfolios and real assets.
19.5. Port will not rely on broad liability disclaimers to avoid duties imposed by children's privacy or safety laws.
19.6. Users should report concerning conduct or a child-safety issue using the reporting or support channel displayed in Port or its official app listing. Port may investigate and take appropriate action under applicable law.
19.7. Where an Account must be closed or a feature disabled due to age or eligibility, Port will follow applicable procedures and explain available data access, asset access, or recovery options to the extent required and technically feasible.
20. PRIVACY; DATA; SECURITY
20.1. Processing of personal information is described in the separate Privacy Policy, which users should review before registering.
20.2. Port uses security measures appropriate to its role and risk profile, but no online system or cryptographic integration can be promised to be perfectly secure.
20.3. Certain financial and blockchain records may be public or retained by independent providers and may not be removable by Port even if a Port Account is deleted.
20.4. Users may exercise statutory privacy rights, including applicable access, correction, deletion, and appeal rights, through the privacy or support channel made available in Port or its official app listing. Exceptions may apply to lawful recordkeeping, fraud prevention, security, and regulatory obligations.
20.5. Port may send essential security, transaction, legal, and service communications. Marketing communications will be managed as required by law and applicable consent preferences.
20.6. Port will not sell children's personal information or engage in prohibited tracking or advertising merely because these Terms appear to permit broad data use.
21. INTELLECTUAL PROPERTY; FEEDBACK; USER CONTENT
21.1. Port and its licensors retain rights in Port's software, trademarks, interface elements, compilations, and original content. Users receive a limited, revocable, nonexclusive, nontransferable license to use Services for authorized personal purposes, subject to applicable law.
21.2. Third-party market data, logos, company names, libraries, and charts remain subject to applicable ownership and licenses. The availability of content does not transfer intellectual property rights to users.
21.3. Users retain ownership of their original submissions. To the extent needed to operate an expressly offered Group or profile feature, users grant Port a limited license to host, display, and process submitted content consistent with privacy settings and law.
21.4. Do not submit content you lack rights to share, especially identifying details of unrelated minors or private Wallet credentials.
21.5. Feedback and product suggestions may be used to improve Services without a requirement to implement or compensate for ideas, except where law or a separate written agreement provides otherwise.
22. EXTERNAL LINKS, THIRD-PARTY TERMS, AND INTEGRATIONS
22.1. Services may use or link to independent providers, including authentication platforms, wallet providers, blockchain RPC services, token issuers, payment processors, charting systems, and App Store operators.
22.2. Port is responsible for its own acts and obligations and does not guarantee the independent performance of third parties. Third-party products may have separate terms, complaint procedures, security policies, and fees.
22.3. A third-party provider's outage, rejection, closure, or compliance action may affect Port features. Port may provide support or escalation as appropriate but cannot promise control over the provider.
22.4. Nothing in these Terms waives rights users possess against Port for its own negligence, misconduct, misrepresentations, statutory violations, or other nonwaivable liability.
23. SERVICE AVAILABILITY; MAINTENANCE; CHANGES
23.1. Port may maintain, update, suspend, or limit Services to correct defects, prevent abuse, improve safety, respond to legal requirements, or implement commercially reasonable changes.
23.2. Port does not promise uninterrupted access, continued compatibility with all iOS versions, permanent access to every market-data feed, or that all software defects will be corrected.
23.3. If material changes adversely affect users, Port will provide the notice and choices required by applicable law; changes affecting actual Digital Assets will follow any applicable provider and custody obligations.
23.4. Beta and test features may change more frequently and will be identified as test functionality; they may not be appropriate for storing or transferring actual value.
24. SUSPENSION; TERMINATION; ACCOUNT DELETION
24.1. Users may stop using Services at any time and may request Account deletion through the account deletion function in Port or the support channel in its official app listing, subject to lawful record-retention requirements.
24.2. Port may suspend, limit, or close Accounts for documented security, fraud, eligibility, sanctions, legal, or material Terms violations, with notice and appeal opportunities where required.
24.3. Suspension of a Port Account may not automatically block access to a genuinely independently controlled onchain Wallet. Conversely, Port cannot promise access to integrated provider features after provider restrictions or loss of signing credentials.
24.4. Where Port or a provider lawfully holds customer assets, any return, withdrawal, freeze, or distribution obligations are governed by the actual custody arrangement and applicable law—not by a blanket forfeiture clause.
24.5. On closure, some Group content may no longer appear, while public blockchain records and lawfully retained financial records may remain.
24.6. Sections whose nature requires survival—including accrued lawful payment obligations, ownership provisions, risk acknowledgments, limitations of liability to the extent permitted, and dispute resolution—may survive termination.
25. IMPORTANT RISK ACKNOWLEDGMENTS
25.1. DIGITAL ASSETS ARE VOLATILE AND CAN LOSE SOME OR ALL OF THEIR VALUE. STABLECOINS CAN DEPEG. TOKENIZED SECURITIES INVOLVE DISTINCT ISSUER, LEGAL, LIQUIDITY, AND MARKET RISKS.
25.2. BLOCKCHAIN TRANSACTIONS MAY BE IRREVERSIBLE. WRONG ADDRESSES, NETWORKS, SIGNATURES, PHISHING, COMPROMISED DEVICES, AND LOST RECOVERY METHODS CAN RESULT IN PERMANENT LOSS.
25.3. DIGITAL ASSETS, PRACTICE CREDITS, AND EXTERNAL ACCOUNTS DO NOT BECOME BANK DEPOSITS OR INSURED SECURITIES MERELY BECAUSE PORT DISPLAYS A DOLLAR VALUE.
25.4. FINANCIAL CHARTS MAY BE DELAYED OR WRONG. SIMULATED TRADES DO NOT RECREATE EVERY CONDITION OF LIVE MARKETS.
25.5. PORT DOES NOT GUARANTEE PROFITS, SAVINGS, INVESTMENT RETURNS, PAYMENTS BY PARENTS, WALLET RECOVERY, UNINTERRUPTED PROVIDER ACCESS, OR ANY PARTICULAR ASSET'S ELIGIBILITY OR LIQUIDITY.
25.6. USERS SHOULD NOT RISK FUNDS THEY CANNOT AFFORD TO LOSE AND SHOULD SEEK INDEPENDENT ADVICE WHEN NECESSARY.
26. WARRANTIES; LIABILITY LIMITATIONS; INDEMNIFICATION
26.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND INFORMATIONAL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION, EXCEPT FOR WARRANTIES THAT CANNOT LAWFULLY BE DISCLAIMED OR EXPRESS WARRANTIES PROVIDED IN A SEPARATE BINDING AGREEMENT.
26.2. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PORT AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS OR OPPORTUNITIES, ARISING FROM USE OF THE SERVICES, WHERE SUCH EXCLUSIONS ARE LEGALLY PERMITTED.
26.3. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PORT'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) US$100 OR (B) FEES ACTUALLY PAID DIRECTLY TO PORT BY THE CLAIMANT FOR THE RELEVANT SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; PROVIDED THIS CAP SHALL NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR TO AMOUNTS HELD FOR OR OWED TO A USER UNDER A SEPARATE CUSTODY, PAYMENT, OR OTHER LEGALLY ENFORCEABLE OBLIGATION.
26.4. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, INTENTIONAL MISCONDUCT, GROSS NEGLIGENCE WHERE NOT WAIVABLE, PERSONAL INJURY OR DEATH CAUSED BY NEGLIGENCE WHERE NOT WAIVABLE, VIOLATIONS OF NONWAIVABLE STATUTORY RIGHTS, OR OTHER LIABILITY THAT LAW PROHIBITS EXCLUDING OR LIMITING.
26.5. TO THE EXTENT PERMITTED BY LAW, AN ADULT USER AGREES TO INDEMNIFY PORT AGAINST THIRD-PARTY CLAIMS, LOSSES, AND REASONABLE COSTS CAUSED BY THAT USER'S UNLAWFUL CONDUCT, INTENTIONAL MISREPRESENTATION, INFRINGEMENT, OR MATERIAL BREACH OF THESE TERMS. THIS DOES NOT REQUIRE A USER TO INDEMNIFY PORT FOR PORT'S OWN WRONGDOING OR WAIVE NONWAIVABLE RIGHTS. MINOR USERS ARE NOT ASKED TO GIVE AN OTHERWISE UNENFORCEABLE INDEMNITY.
26.6. SOME JURISDICTIONS DO NOT PERMIT CERTAIN WARRANTY DISCLAIMERS, DAMAGES EXCLUSIONS, OR LIABILITY CAPS. IN THOSE PLACES, THE PROVISIONS APPLY ONLY TO THE EXTENT LAWFUL.
27. DISPUTES AND INFORMAL RESOLUTION
27.1. If a concern arises, users may contact Port using the support or legal contact channel identified in the application or its official app listing. Please provide a description of the issue and the relief requested so the matter can be investigated.
27.2. Port and the user may attempt to resolve disputes informally and in good faith. Informal discussions do not prevent either party from seeking urgent relief, preserving a filing deadline, exercising rights under applicable law, or contacting regulators.
27.3. These Terms do not require binding arbitration, waive class-action rights, or restrict access to small-claims court where available. A separate, validly accepted agreement may contain additional dispute provisions only where law permits.
28. GOVERNING LAW; CONSUMER RIGHTS
28.1. Any dispute is subject to the law and jurisdiction applicable under relevant conflict-of-law, consumer-protection, financial-services, and other mandatory rules. Nothing here deprives users of rights that cannot legally be waived.
28.2. Claims may be brought before courts of competent jurisdiction, subject to applicable law and any separately valid agreement.
28.3. Users retain the right to contact appropriate government agencies, make regulatory complaints, and exercise nonwaivable statutory remedies.
29. ELECTRONIC COMMUNICATIONS; NOTICES
29.1. To the extent lawful and with required consent, users agree to receive electronic records and notices concerning the Services at the email, app, or other contact channel associated with their Account.
29.2. Transaction confirmations, provider disclosures, and other records may be delivered through the method required by the relevant provider and applicable law.
29.3. Users must maintain accurate contact details. Port may use in-app notices, email, and legally required methods for material changes and security messages.
29.4. Where electronic consent is required by law, Port must provide the applicable hardware/software disclosures, withdrawal options, and paper-copy rights before relying on electronic delivery.
30. CHANGES TO TERMS
30.1. Port may update these Terms to reflect new functionality, technical changes, law, or provider requirements.
30.2. Port will post the updated effective date and provide additional notice, and obtain affirmative agreement where required, before material changes become binding.
30.3. Updates will operate prospectively as required by law. Continued use after valid notice and acceptance may constitute agreement where legally permissible. Silence alone by a Minor or a person without legal capacity does not constitute valid consent.
30.4. If a user does not accept an applicable change, the user may stop using the affected Services and request closure, subject to lawful financial settlement or retention obligations.
31. GENERAL TERMS
31.1. Severability. If a provision is unenforceable, the remaining lawful provisions continue, except where doing so would defeat a material legal protection or make the agreement fundamentally unfair.
31.2. No Waiver. Failure to enforce a provision once does not necessarily waive it in the future.
31.3. Assignment. Port may transfer contractual rights and obligations in connection with a genuine business transaction, subject to applicable law and protections for user data and funds. Users may not transfer an Account without authorization.
31.4. Force Majeure. Port is not responsible for delays caused by events beyond reasonable control to the extent permitted by law, but this clause does not excuse duties to safeguard or return property where law requires them.
31.5. Entire Agreement. These Terms and expressly incorporated or validly accepted supplemental terms constitute the agreement governing the relevant Services and supersede prior general statements, except mandatory or separately binding obligations.
31.6. Interpretation. Headings are for convenience. The word "including" is illustrative, not limiting. No clause is intended to expand regulated activity beyond what Port actually and lawfully offers.
31.7. Accessibility and Language. Contact Port through its published support channel for accessibility assistance or legally required alternate formats. Where translations are offered, controlling-language rules must be disclosed and consistent with law.
31.8. Third-Party Beneficiaries. Except where required by app-store license terms or a separate valid agreement, these Terms do not create enforceable rights for unrelated third parties.
32. APPLE APP STORE ADDENDUM
32.1. These Terms are between the user and Port, not Apple Inc. Port, not Apple, is responsible for the Services and their content, subject to applicable law.
32.2. The app license is limited to use on Apple-branded products owned or controlled by the user and as permitted by Apple's Usage Rules and applicable Family Sharing rules.
32.3. Apple has no duty to provide app maintenance or support. Requests regarding the application should be directed to Port through its published support channel.
32.4. If the app fails to conform to an applicable warranty, the user may notify Apple and, to the extent required by Apple's terms and law, Apple may refund the app purchase price, if any; Apple otherwise has no app warranty obligation to the extent permitted by law.
32.5. Port is responsible for addressing product-liability, legal-compliance, consumer-protection, and intellectual-property claims relating to the app to the extent required by law and the applicable Apple agreements.
32.6. The user represents that they are not located in or associated with a prohibited or embargoed jurisdiction or restricted-party list as applicable under export laws.
32.7. Apple and Apple's subsidiaries are third-party beneficiaries of this addendum to the extent specified by applicable Apple required license terms and may enforce it upon acceptance where permitted.
33. CONTACT AND COMPLAINTS
To contact Port about these Terms, technical support, security issues, account deletion, privacy requests, or child-safety concerns, use the applicable support or reporting mechanism identified within the Port application or in its official app-store listing. Notices requiring a particular delivery method under applicable law must be delivered in that manner.
When a regulated payment, onramp, offramp, wallet, or trading partner is responsible for a particular transaction or service, users may also contact that partner through its published complaint channels. Nothing in these Terms prevents a user from contacting an appropriate regulator.
